Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Carty — the mobile applications, the website at carty.ng, and the related services (together, the “Service”) — operated by Techrific Limited (“Carty”, “we”, “us”), a company registered in the Federal Republic of Nigeria. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Carty is

Carty is a protected-payments and delivery platform for social commerce. It lets a seller create a payment link for an item, and lets a buyer pay for that item from their Carty wallet. The buyer's money is held securely by Carty and is only released to the seller after the buyer confirms delivery. Where the parties choose it, delivery is carried out by independent riders on the Carty network.

Carty is a facilitator, not a party to the sale. We do not own, inspect, or warrant the items sold through payment links. The sale contract is between the buyer and the seller. Our role is to hold payment securely until confirmation, coordinate delivery, and provide the dispute process described below.

2. Eligibility and your account

You must be at least 18 years old and resident in a country where the Service operates (currently Nigeria) to use Carty. You must register with accurate information and keep it up to date. You may hold only one account, and you are responsible for everything that happens under it — keep your password, transaction PIN, one-time codes, and delivery codes confidential.

To operate a wallet you must complete identity verification (KYC), which may include your BVN, NIN, a government-issued ID, and a liveness check, carried out through our verification partners. We may decline, limit, or suspend accounts that fail verification or that we reasonably suspect of fraud, in line with applicable anti-money-laundering laws.

3. Wallets and payments

Your Carty wallet and the account number attached to it are provided in partnership with a licensed financial institution. Wallet balances are your money held for making and receiving payments on the Service; they do not earn interest. You fund your wallet by bank transfer to your account number. All amounts are in Nigerian Naira.

When you pay through a payment link, the total (item price, delivery fee, and any optional service fees you select) is debited from your wallet immediately and held securely by Carty. Held funds are released to the seller when you confirm delivery with your delivery code, or as the outcome of a dispute. Fees applicable to a transaction are shown to you before you pay and are non-refundable once the service they relate to has been performed.

4. Sellers and payment links

If you create payment links, you confirm that you own or are authorised to sell the items listed, that your descriptions, photos, and prices are accurate, and that the sale is lawful. You must not list or sell: stolen or counterfeit goods; weapons; drugs or controlled substances; wildlife products; items that infringe intellectual property; or anything else illegal under Nigerian law.

You are responsible for handing the correct item to the rider (or buyer) in the condition described. Deliberately misdescribing items, shipping different goods, or attempting to move a Carty-initiated sale off-platform to avoid Carty's payment protection may lead to withheld funds, account termination, and reporting to law enforcement.

5. Buyers, delivery, and confirmation

Provide an accurate delivery address and be reachable on the phone number you supply. When your order arrives, inspect the item before sharing your delivery code. Sharing the code confirms delivery and releases the protected payment to the seller — treat it like cash. If an item does not arrive, or arrives not as described, do not share the code; open a dispute instead.

If you are unreachable or refuse delivery without cause, the order may be returned and reasonable delivery costs deducted before any refund.

6. Riders

Riders are independent contractors, not employees or agents of Carty. Rider applicants must provide accurate vehicle and licence information and pass our verification checks. While on an active delivery, riders agree to share their live location so the buyer and seller can track the order. Riders must handle items with reasonable care and deliver only to the named receiver.

7. Disputes and refunds

Either party to an order may open a dispute from the order screen while the order is active. We will review the evidence available to us — item photos, inspection media, tracking data, and messages — and may release held funds to the seller, refund the buyer in full or in part, or split the amount, at our reasonable discretion. Dispute decisions are final within the Service, but nothing in these Terms limits your right to pursue remedies in court or with regulators.

8. Acceptable use

You must not:

  • use the Service for money laundering, terrorist financing, fraud, or any unlawful purpose;
  • attempt to reverse-engineer, disrupt, probe, or overload the Service, or access other users' accounts or data;
  • create accounts with false identity information or operate multiple accounts;
  • harass, threaten, or defraud other users or riders;
  • use the Service to collect payments unrelated to a genuine sale of goods.

We may suspend or terminate accounts, cancel orders, withhold suspicious funds pending investigation, and report activity to relevant authorities where the law requires or permits.

9. Intellectual property

The Service, including its software, design, and the Carty name and logo, belongs to Techrific Limited or its licensors. You keep ownership of content you upload (such as product photos) and grant us a non-exclusive licence to host and display it for the purpose of operating the Service.

10. Disclaimers and limitation of liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all implied warranties and do not guarantee that the Service will be uninterrupted or error-free, or that items sold by sellers will meet your expectations.

To the extent permitted by law, our total liability to you for any claim arising out of the Service is limited to the greater of the fees you paid to Carty in the six months before the claim and the amount held by Carty for the transaction concerned. We are not liable for indirect or consequential loss, or for losses caused by events beyond our reasonable control. Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.

11. Indemnity

You agree to indemnify Carty against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your listings or sales, or your misuse of the Service.

12. Changes, suspension, and closing your account

We may update these Terms from time to time. For material changes we will give notice in the app or by email at least 7 days before they take effect; continuing to use the Service after that date means you accept the updated Terms. You may close your account at any time from the app once you have no active orders or funds still held; wallet balances will be paid out to your verified bank account.

13. Governing law and complaints

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over disputes that cannot be resolved amicably. If you have a complaint, contact us first at support@carty.ng or through the contact page — most issues are resolved within a few business days.
